1. Definitions

In these Terms and Conditions:

  • "Agreement" means these Terms and Conditions together with any service-specific agreements
  • "Services" refers to AI integration services including customer insight mining, document intelligence, and enterprise maturity programs
  • "Client" or "You" means the individual or organization engaging our services
  • "We," "Us," or "quiillixxxes" refers to quiillixxxes and its team members
  • "Deliverables" means work products, reports, code, models, and documentation provided under services
  • "Client Data" refers to data provided by you for analysis or processing

2. Acceptance of Terms

By engaging our services, using our website, or submitting an inquiry, you agree to be bound by these Terms and Conditions. If you do not agree with any provision, you must not use our services.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organization, you confirm that you have authority to bind that organization to these terms.

3. Services Description

quiillixxxes provides specialized AI integration services to businesses in Thailand:

3.1 Customer Insight Mining

Data analysis services applying machine learning to customer information. Scope includes data consolidation, feature engineering, clustering analysis, predictive modeling, and business recommendations. Typical engagement duration is 4-6 weeks.

3.2 Document Intelligence

Development of intelligent document processing systems using optical character recognition and natural language understanding. Includes system development, integration with existing infrastructure, training for Thai and English documents, and three months of post-launch monitoring. Implementation typically requires 8-12 weeks.

3.3 Enterprise AI Maturity Acceleration

Structured twelve-month program advancing organizational AI capabilities through progressive stages. Includes quarterly milestones, monthly advisory sessions, technical support for pilot projects, change management guidance, and executive reporting.

Service scope and deliverables are detailed in individual service agreements. We reserve the right to modify service descriptions with notice to existing clients.

4. Service Engagement Process

Our engagement process follows these steps:

  1. Initial Consultation: We discuss your requirements, assess suitability, and provide preliminary recommendations
  2. Proposal: We submit a detailed proposal including scope, timeline, deliverables, and pricing
  3. Agreement: Upon acceptance, we execute a service agreement specifying engagement terms
  4. Execution: We deliver services according to agreed methodology and schedule
  5. Completion: We provide final deliverables and conduct knowledge transfer

Changes to scope require mutual written agreement and may affect timeline and pricing.

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant timely access to required data, systems, and personnel
  • Designate a primary point of contact with decision-making authority
  • Review deliverables and provide feedback within specified timeframes
  • Ensure you have rights to share data provided for analysis
  • Comply with all applicable laws and regulations
  • Maintain confidentiality of proprietary methodologies and tools
  • Provide safe working environment for on-site activities (if applicable)

Delays caused by failure to meet these responsibilities may extend project timelines without penalty to quiillixxxes.

6. Pricing and Payment Terms

6.1 Pricing

Published pricing for standard services:

  • Customer Insight Mining: ฿16,500 per engagement
  • Document Intelligence: ฿37,500 per implementation
  • Enterprise AI Maturity: ฿49,500 per month (twelve-month commitment)

All prices are in Thai Baht (฿) and exclude applicable VAT unless otherwise stated. Customized engagements will be priced based on scope and quoted separately.

6.2 Payment Terms

  • Customer Insight Mining: 50% upon agreement signing, 50% upon delivery of final report
  • Document Intelligence: 40% upon agreement signing, 30% upon system deployment, 30% upon completion of monitoring period
  • Enterprise Maturity: Monthly billing in advance, due within 15 days of invoice date

Payment methods include bank transfer and company check. Late payments incur interest at 1.5% per month (18% annually).

6.3 Expenses

Reasonable out-of-pocket expenses (travel, accommodation for on-site work) will be billed at cost with prior approval.

7. Intellectual Property Rights

7.1 Client Data

You retain all ownership rights to data provided to us. We use Client Data solely for delivering contracted services and as permitted by our Privacy Policy.

7.2 Deliverables

Upon full payment, you own all custom-developed code, models, and analyses created specifically for your engagement. This includes machine learning models, data processing scripts, and analytical findings documented in deliverables.

7.3 quiillixxxes Intellectual Property

quiillixxxes retains ownership of:

  • Methodologies, frameworks, and processes used in service delivery
  • Pre-existing tools, libraries, and code bases
  • Templates and standard documentation formats
  • Know-how and expertise developed independently

You receive a non-exclusive license to use quiillixxxes methodologies as incorporated in your deliverables.

8. Confidentiality

Both parties agree to maintain confidentiality of information designated as confidential or that would reasonably be considered confidential. This obligation survives for three years after engagement completion.

Exceptions include:

  • Information already in public domain through no fault of receiving party
  • Information independently developed without reference to confidential material
  • Information required to be disclosed by law or court order
  • Information disclosed with prior written consent

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that:

  • Services will be performed with professional skill and care
  • We have necessary expertise to deliver contracted services
  • Deliverables will materially conform to specifications in service agreement
  • We hold appropriate rights to methodologies and tools used

9.2 Disclaimers

Except as expressly stated:

  • Services are provided "as is" without warranties of any kind
  • We do not warrant that AI models will achieve specific accuracy levels in production use
  • We do not guarantee specific business outcomes or ROI
  • Machine learning results depend on data quality and may vary over time
  • Recommendations are advisory; implementation decisions remain your responsibility

10. Limitation of Liability

To the maximum extent permitted by Thai law:

10.1 Liability Cap

Our total liability arising from or related to any engagement is limited to the fees paid by you for that specific engagement in the twelve months preceding the claim.

10.2 Excluded Damages

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data not caused by our gross negligence
  • Reputational harm or goodwill loss
  • Third-party claims

10.3 Exceptions

Limitations do not apply to liability for fraud, willful misconduct, gross negligence, death or personal injury, or violations of applicable law that cannot be limited by contract.

11. Indemnification

You agree to indemnify quiillixxxes against claims arising from:

  • Your use of deliverables in violation of applicable laws
  • Your provision of inaccurate or incomplete information
  • Your breach of these Terms or service agreements
  • Infringement claims related to Client Data you provided
  • Your implementation of our recommendations

12. Term and Termination

12.1 Engagement Term

Each engagement continues until completion of deliverables as specified in the service agreement.

12.2 Termination for Convenience

Either party may terminate with 30 days written notice. You remain responsible for fees for work completed and reasonable wind-down costs.

12.3 Termination for Cause

Either party may terminate immediately if the other party:

  • Materially breaches these Terms and fails to cure within 15 days of written notice
  • Becomes insolvent or subject to bankruptcy proceedings
  • Engages in fraud or willful misconduct

12.4 Effects of Termination

Upon termination:

  • Payment obligations for services rendered remain in effect
  • Confidentiality obligations continue
  • You receive work-in-progress deliverables in their current state
  • We securely return or destroy Client Data as you direct

13. Dispute Resolution

13.1 Informal Resolution

Parties agree to first attempt good-faith negotiation to resolve disputes. Either party may initiate by providing written notice describing the dispute.

13.2 Mediation

If negotiation fails within 30 days, parties will attempt mediation through a mutually agreed mediator in Bangkok, Thailand before pursuing litigation.

13.3 Governing Law and Jurisdiction

These Terms are governed by the laws of Thailand. Any legal proceedings will be conducted in the courts of Bangkok, Thailand, and both parties consent to exclusive jurisdiction.

14. General Provisions

14.1 Entire Agreement

These Terms, together with service-specific agreements and our Privacy Policy, constitute the entire agreement and supersede all prior understandings.

14.2 Amendments

We may modify these Terms by posting updated versions on our website. Changes apply to engagements initiated after the effective date. We will notify existing clients of material changes.

14.3 Assignment

You may not assign rights or obligations without our written consent. We may assign to affiliates or in connection with merger or sale of business.

14.4 Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, acts of government, pandemics, war, strikes, internet failures).

14.5 Severability

If any provision is found invalid, remaining provisions continue in full force. Invalid provisions will be modified minimally to be enforceable.

14.6 Waiver

Failure to enforce any provision does not waive the right to enforce it later. Waivers must be in writing to be effective.

14.7 Notices

All formal notices must be in writing and sent to addresses specified in service agreements or to legal@quiillixxxes.
